Hot Topics in Nonprofit Law
This workshop addresses the basic legal underpinnings of organizations exempt from federal income taxation and offers practical solutions to real-life problems of nonprofit executives. It focuses on United States federal tax law, obtaining and maintaining tax exempt status, distinguishing between public charities and private foundations, income-generating activities, and tax reporting. It also covers structuring and operating nonprofits under state law, bylaw drafting, mergers, acquisitions and strategic alliances, executive director and board member liability, insurance protection, the law of volunteers, charitable solicitation registration requirements, and ethical issues for nonprofits.

Instructor(s): Donald W. Kramer
Donald W. Kramer is chair of the Nonprofit Law Group at the Philadelphia law firm of Montgomery, McCracken, Walker & Rhoads, LLP. Mr. Kramer has 35 years of experience dealing with the concerns of nonprofit organizations, as a lawyer, an educator, writer, publisher, and board member. Mr. Kramer is editor and publisher of Don Kramer’s Nonprofit Issues®, a national electronic newsletter of “Nonprofit Law You Need to Know” (www.nonprofitissues.com.). He writes and lectures frequently on nonprofit legal issues, and teaches at Penn’s Law School. He has worked with nonprofit organizations of all types and sizes, helping structure start-up situations and restructure multi-organizational social service, health and educational systems. He also serves on numerous Nonprofit Boards. Before joining Montgomery, McCracken in 1972 was Deputy Development Coordinator and Assistant to the Mayor of Philadelphia. Don is a graduate of Princeton University and Harvard Law School.
